Terms of Use

Complete contractual terms for registration and use of the international XBN business platform.

Section 1 — Contracting party, scope and priority

The operator and contracting party is Bobardt Enterprises Inc., 4321 W College Ave, Appleton, WI 54914, USA. Xelthron Business Network (XBN) is a product and service of that company.

These Terms apply to XBN websites, applications and all functions, including personal and business profiles, contacts, posts, comments, messages, newsletters, jobs, projects, marketplace, files, integrations and memberships. Specific order terms, the Privacy Policy, Cookie Policy, Community Guidelines and published product terms supplement these Terms. In case of conflict, mandatory law prevails, followed by specific order terms and then these Terms.

Section 2 — Definitions

“Platform” means XBN; “User” any person accessing it; “Member” a registered User; “Organization” a business or other legal entity; “Organization Administrator” an authorized manager; “Content” all text, media, files, listings and communications; “Paid Service” a fee-based function; and “Consumer” a person acting mainly outside a trade or profession.

Section 3 — Eligibility and minors

Users must be at least 18 and legally capable of contracting. XBN is not directed to children and does not permit accounts for persons under 18. Services directed to children under 13 that would trigger COPPA are not offered. Anyone acting for an Organization represents that they have authority to bind it.

Section 4 — Registration, account security and information

Registration, contact, governance and billing information must be accurate, complete and current. Accounts are personal; credentials may not be shared or resold through automation. Suspected compromise must be reported promptly. Users are responsible for activity under their account to the extent attributable to them.

Section 5 — Profile types and organizational authority

A personal account does not automatically permit use of company administration functions. Business profiles may be created and managed only by demonstrably authorized persons. Organizations may appoint multiple administrators and must remove former or unauthorized administrators. XBN may request identity, registry, domain or authority evidence and may correct or withdraw verification badges.

Section 6 — License and permitted use

For the contract term, XBN grants a limited, revocable, non-exclusive and non-transferable right to use the Platform as intended. Prohibited conduct includes reverse engineering except where mandatorily permitted, bypassing technical limits, scraping without written permission, credential stuffing, malware, unauthorized access, load testing, metric manipulation and use to build competing datasets or services.

Section 7 — User Content and license

Users retain ownership of their Content. They grant XBN a worldwide, non-exclusive, royalty-free and sublicensable license solely to host, technically process, translate, display, back up, moderate and provide Content through selected functions. The license ends after deletion except for backups, lawful retention or copies shared by others. Users represent that they hold all required rights, consents and publicity permissions.

Section 8 — Community, communications and commercial content

Content and communications must be lawful, professional, authentic and free from harassment, hate, threats, fraud, spam, manipulated reviews and deceptive advertising. Advertising, sponsorships, affiliate relationships and other material connections must be clearly disclosed. Newsletters and marketing email require a valid legal basis and must include an opt-out, accurate sender information and a valid postal address.

Section 9 — Marketplace, products and services

XBN provides search, display and communication tools but, unless expressly stated, is not the seller, employer, principal, payment service provider or party to a User transaction. Sellers are responsible for trader identity, product information, prices, taxes, permits, controls, safety, delivery, warranties, withdrawal rights and customer support. Users must evaluate counterparties and offers independently. Prohibited, dangerous, counterfeit or unlawful listings are not allowed.

Section 10 — Jobs, applications, projects and collaborations

Job and project information must be accurate, non-discriminatory and lawful. XBN is not an employment agency and does not guarantee suitability or completion. Employers and principals remain responsible for employment, immigration, minimum wage, equal opportunity, tax and contract law. Applicants decide which data to submit.

Section 11 — Recommendations, search and ranking

Feeds, contacts, news, jobs and marketplace results may be ranked using interests, language, location, relationships, recency, interactions, quality, safety and selected settings. Paid placement will be labeled. Users may adjust available interest and feed controls. XBN does not promise reach, ranking or business outcomes.

Section 12 — Notices, moderation and statements of reasons

Users may report allegedly illegal or policy-violating Content through provided channels. Reports must be sufficiently specific and made in good faith. XBN may use automated signals and human review to restrict, demote, label or remove Content or limit accounts. Where legally required, affected Users receive a statement of reasons and access to an internal complaint process. Manifestly abusive notices may be sanctioned.

Section 13 — Memberships, trials and formation

Before purchase, XBN displays scope, total price, taxes, billing interval, minimum term, trial and renewal. The contract forms on confirmation or activation. Trials convert to paid membership only after clear advance disclosure and payment authorization. Promotional prices apply only under displayed conditions.

Section 14 — Payment, taxes and payment processors

Amounts due are collected through the selected payment provider. Users authorize recurring charges as stated at checkout and must keep payment details current. Prices are subject to displayed taxes. Chargebacks may not be abused. Payment providers act under their own terms; XBN generally does not store complete card data itself.

Section 15 — Renewal, cancellation, withdrawal and refunds

Recurring memberships renew for the interval disclosed before purchase until cancelled before renewal. Cancellation stops the next renewal; paid access generally continues through the period. Mandatory withdrawal, cancellation and refund rights, including EU consumer rights, remain unaffected. Where digital performance begins immediately, legally required express consent and acknowledgment will be obtained.

Section 16 — Third-party services and integrations

Email, calendar, conferencing, news, mapping, payment and social-media integrations are optional third-party services. Users authorize only selected permissions and may revoke connections. XBN is not responsible for external content, availability, security or terms and may disable unsafe or unsupported integrations.

Section 17 — Availability, changes and beta features

XBN is operated with commercially reasonable care but without a general uptime guarantee. Maintenance, security, force majeure, network failures and third parties may affect functions. Material adverse changes to paid core services will be notified reasonably. Beta, preview and test functions may be incomplete and may change or end at any time.

Section 18 — Suspension, termination and export

XBN may take proportionate action up to suspension or termination for illegality, security risk, non-payment, identity deception or material breach. Urgent threats permit immediate action. Where legally and technically possible, reasons, appeal and reasonable data are provided. Users may close their account; lawful retention and third-party rights remain unaffected.

Section 19 — Disclaimers

To the extent permitted by law, XBN is provided “as available.” XBN does not warrant other Users’ identity, solvency, quality, legality or performance, error-free translations, particular search results or business success. Mandatory warranties, expressly guaranteed characteristics and liability for fraud remain unaffected.

Section 20 — Liability and indemnity

Liability remains unlimited for intent, gross negligence, death or personal injury, fraud and other non-excludable liability. For ordinary negligence, XBN is liable only for essential contractual duties and foreseeable typical loss. Where lawful, indirect loss and lost profit are excluded and aggregate liability is limited to fees paid in the twelve months before the event. Business Users indemnify XBN against substantiated third-party claims arising from their unlawful Content, listings or breach.

Section 21 — Governing law and disputes

Before proceedings, parties should seek resolution through info@x-bn.com. Where permitted, Wisconsin law applies without conflict rules; venue for merchants is Outagamie County, Wisconsin. Mandatory consumer law, statutory venues and rights to complain to authorities or platform bodies remain unaffected. No binding arbitration clause applies unless separately and validly agreed.

Section 22 — Changes, assignment, severability and contact

Material changes will be communicated reasonably before taking effect; adverse retroactive changes require a legal basis. Users may not assign contracts without consent; XBN may assign them in a business transfer subject to legal rights. Non-enforcement is not waiver. Invalid provisions are limited to the lawful extent and the remainder survives.
